Terms & Conditions
The terms that apply when West Cumbria Websites supplies website services to your business.
Last updated: 31 August 2026
Business customers: These terms are written for customers buying our services wholly or mainly for business purposes. Your quotation or order form may include additional project-specific terms.
1. About these terms
These terms apply to website design, development, hosting, maintenance, support, performance optimisation and related services supplied by West Cumbria Websites (referred to as “we”, “us” or “our”). The person or organisation purchasing the services is referred to as the “customer” or “you”.
The contract between us consists of the accepted quotation or order form, these terms and any other document expressly incorporated into the quotation. If there is a conflict, the quotation or order form takes priority for project-specific scope, price and timing.
2. Contact details
You can contact West Cumbria Websites at:
- Email: hello@westcumbriawebsites.co.uk
- Telephone: +44 7598 478868
- Location: Workington, Cumbria, United Kingdom
3. Forming the contract
A quotation is an invitation to purchase the services described in it. A binding contract is formed when you accept the quotation or order form in writing, electronically or by another method we expressly agree, and we confirm acceptance or begin work at your request.
You confirm that the person accepting the quotation has authority to bind the customer. No change to the agreed scope is binding unless confirmed by both parties.
4. Services and project scope
We will provide the services described in the accepted quotation with reasonable care and skill. The quotation will normally identify the pages, features, content, hosting, support, payment plan and any third-party services included.
Anything not expressly included is outside the agreed scope and may require a separate quotation. Examples include additional pages, substantial redesigns, ecommerce, booking systems, custom integrations, copywriting, photography, paid advertising and ongoing SEO campaigns.
5. Your responsibilities
You agree to:
- provide accurate instructions, content, branding, access credentials and approvals reasonably needed for the work;
- respond within a reasonable time so the project can progress;
- check designs, content, spelling, contact details, prices and legal information before approval;
- ensure that materials you provide are lawful, accurate and do not infringe another person's rights;
- maintain any licences, notices, policies or consents required for your business and website; and
- keep account and access details secure and notify us promptly of suspected misuse.
We are not responsible for delays caused by missing content, late approvals, unavailable access or changes to your instructions. Any target date will move where reasonably necessary to reflect such a delay.
6. Reviews, approval and launch
We may provide designs, previews or staging links for review. Approval confirms that you are satisfied with the relevant stage and authorises us to continue. You remain responsible for the final review of customer-supplied content and business information.
Unless a fixed deadline is expressly guaranteed in the quotation, delivery dates are reasonable estimates. We will keep you informed of material delays.
7. Charges and payment
You must pay the charges and at the times stated in the quotation or order form. Any applicable VAT or other tax will be shown where required. Approved third-party costs and work outside scope may be charged separately.
Payment obligations are not dependent on the website generating a particular level of enquiries, sales, traffic or search-engine ranking.
8. Direct Debit payments
If payment is collected by Direct Debit, you authorise our payment provider and the banks involved to establish and operate the Direct Debit instruction for the amounts due under the contract.
- We or our payment provider will give advance notice of a change to the amount, date or frequency of collection, normally at least 10 working days beforehand unless a different notice period is agreed.
- You must keep a valid Direct Debit instruction in place and ensure sufficient funds are available on the collection date.
- If a collection fails, the amount remains due. We or our provider may notify you and attempt collection again.
- You can cancel a Direct Debit through your bank or building society, but doing so does not by itself cancel this contract or remove your obligation to pay charges already due or payable during a minimum term. You should also notify us.
The Direct Debit Guarantee protects you if an error is made in a Direct Debit payment. Refund requests under the Guarantee are handled by your bank or building society. If you receive a refund to which you were not entitled, you must repay the relevant amount.
9. Missed and overdue payments
If an amount is overdue, we may pause work, support, hosting or website availability after giving reasonable notice. This does not remove your responsibility to pay the amount due. We reserve any right provided by law to recover reasonable collection costs and interest on late commercial payments.
We will restore suspended services within a reasonable time after cleared payment, where the contract remains active and restoration is technically practicable.
10. Monthly plan
The monthly plan has a minimum 12-month commitment beginning on the commencement date stated in the quotation or order form. Unless we agree otherwise, the customer remains responsible for the monthly charges throughout that minimum term, including where the customer asks to stop the service early.
After the minimum term, the plan continues on a monthly basis. Either party may end it by giving one month's written notice. We may propose a price change after the minimum term by giving at least one month's notice; you may end the plan before the change takes effect if you do not accept it.
11. Lump-sum projects and ongoing hosting
For a lump-sum project, the payment schedule and any deposit will be stated in the quotation. We may withhold launch, handover or transfer of files until all project charges are paid.
Hosting, maintenance, domain services, edits or support supplied after the project may carry separate recurring charges and continue until ended under the applicable quotation or these terms.
12. Unlimited edits and changes
Where a plan includes unlimited edits, this means reasonable requests to update existing text, images and contact information within the agreed website structure. It does not include a full redesign, new pages, new functionality, copywriting, branding work, complex image editing or third-party costs unless we agree otherwise.
We will schedule edit requests reasonably alongside other customer work. Urgent or unusually extensive requests may require a separate timescale or quotation, which we will explain before carrying out chargeable work.
13. Referral discounts
Referral discounts are governed by the rules published on our Referral Scheme page and any project-specific confirmation we provide. A referred business must be a new customer and become a paying customer before discounts begin.
Referral credit has no cash value. Discounts may stack up to 100% of the referring customer's normal monthly fee but cannot create a cash balance or payment owed to the customer.
14. Hosting, domains and third-party services
Hosting, domain registration, email, fonts, images, payment services, security tools and other third-party services may be subject to their providers' availability, acceptable-use rules and licence terms. We are not responsible for a third party changing, suspending or withdrawing its service, but we will take reasonable steps to help where the affected service is managed by us.
No online service can be guaranteed to operate without interruption or security risk. We may perform maintenance or take urgent action where reasonably necessary to protect a website, server, customer or third party.
15. Intellectual property
You retain ownership of content, logos, photographs and other materials you provide. You give us permission to use those materials as needed to provide the services and confirm that you have the necessary rights to do so.
For a fully paid lump-sum project, ownership of the bespoke website code created specifically for you transfers as described in the quotation. This excludes our pre-existing materials, development methods, reusable components, know-how and third-party materials or licences, which remain owned by us or their respective owners.
For a monthly-plan website, the website and code form part of the ongoing service and do not automatically transfer when the plan ends. Any code transfer or buyout must be agreed separately in writing.
16. Confidentiality
Each party will use reasonable care to protect confidential business information received from the other and will use it only for the contract. This does not apply to information that is public through no breach, already lawfully known, independently developed or required to be disclosed by law.
17. Data protection
Each party must comply with applicable UK data protection law. Our handling of information about customers, contacts and payers is described in our Privacy Policy.
If a project requires us to process personal information on your behalf beyond ordinary account administration, the parties will agree any additional data-processing terms reasonably required by law.
18. Suspension and termination
Either party may end the contract by written notice if the other commits a material breach and, where the breach can be remedied, does not remedy it within 14 days after receiving written notice. We may suspend or end services sooner where reasonably necessary because of unlawful content, a serious security risk, fraud, insolvency or persistent non-payment.
Ending the contract does not affect rights or charges that arose before termination. Charges for completed work, approved third-party costs and any remaining commitment expressly payable under the monthly-plan minimum term remain due, except where the contract is ended because of our unremedied material breach.
19. Consequences of ending a service
When hosting or a monthly plan ends, the website may be taken offline and ongoing support, edits and maintenance will stop. Domain, content and file handover will follow the ownership terms in the quotation and section 15. We may retain or delete information in accordance with our Privacy Policy and legal obligations.
20. Service limitations
We do not guarantee a particular search ranking, accessibility certification, amount of traffic, sales, enquiries, revenue or compatibility with every future browser, device or third-party change unless the quotation expressly says otherwise.
We are not responsible for customer content, customer changes, services controlled by third parties, or problems caused by credentials, code or software supplied by someone else.
21. Liability
Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that, neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business opportunity, goodwill or data. Our total liability arising from a contract will not exceed the charges paid or payable under that contract during the 12 months immediately preceding the event giving rise to the claim.
22. Events outside reasonable control
Neither party is responsible for delay or failure caused by events outside its reasonable control, including widespread network failure, utility outage, serious cyber incident, fire, flood, epidemic, industrial dispute, government action or failure of a critical third-party service. The affected party will take reasonable steps to reduce the impact.
23. General
- If part of the contract is unenforceable, the rest continues in effect.
- A delay in enforcing a right does not waive that right.
- You may not transfer the contract without our written agreement. We may use suitably qualified subcontractors while remaining responsible for our obligations.
- No person other than the parties has a right to enforce the contract under the Contracts (Rights of Third Parties) Act 1999.
- Notices about breach, termination or cancellation must be sent in writing, including by email to the usual business contact address.
24. Governing law and disputes
The parties will first try in good faith to resolve any dispute through discussion. The contract is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
25. Changes to these terms
The version accepted with your contract continues to apply to that contract unless a change is agreed in writing or is required by law. We may update the website version for future contracts and will identify the latest revision date above.
